Important Notice: These Terms of Service contain a binding arbitration agreement and a class action waiver. Please review the Dispute Resolution section carefully before using this site.
These Terms of Service (the Terms) govern your access to and use of the website located at gaterepairgardena.com (the Site) operated by Ironworks Gate Co.. By accessing the Site, submitting a service request, or otherwise interacting with any feature of the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use the Site or submit any service request through it.
These Terms apply to all visitors and users of the Site, including persons who submit requests for home-service referrals. Your use of the Site constitutes your agreement with these Terms each time you access or use it.
May These Terms Change Over Time?
We reserve the right to revise, amend, or update these Terms at any time and at our sole discretion. When we do so, we will update the Last Updated date displayed at the top or bottom of this page. The revised Terms will take effect as of that date.
Your continued use of the Site following the posting of any revised Terms constitutes your acceptance of those revised Terms. We encourage you to review this page periodically to remain informed of any changes. If you do not agree to a revised version of these Terms, your sole remedy is to discontinue use of the Site.
What Services Does Ironworks Gate Co. Actually Provide?
Ironworks Gate Co. operates gaterepairgardena.com exclusively as a marketing and referral platform for home services in Gardena, CA and surrounding areas. Our function is limited to advertising home-service categories, receiving service requests submitted through the Site or by phone, and transmitting those requests to independent local businesses and tradespeople who have agreed to receive referrals from us.
Every estimate, consultation, repair, installation, and service call - without exception - is performed by the independent contractors and local service providers to whom we refer each request. Ironworks Gate Co. does not perform any home-service work of any kind. We do not employ, engage, or retain the tradespeople who perform that work, and we do not direct, oversee, or supervise the manner in which they perform it.
The independent business that accepts a referral is solely responsible for setting its own pricing, scheduling, scope of work, and choice of materials. Availability of a business to respond to any particular request is not guaranteed. Ironworks Gate Co.’s role ends at the point of referral; what happens after is entirely between you and the business you engage.
Does Ironworks Gate Co. Warrant the Quality of Any Work Performed?
Because Ironworks Gate Co. performs no home-service work and employs no tradespeople, we make no warranty, express or implied, regarding the quality, fitness, workmanship, or outcome of any work performed in response to a referral from this Site. We do not guarantee any result, and we do not stand behind the performance of any independent business to which a request is referred.
Any warranty on labor or workmanship, if one exists, is provided solely by the independent business that performed the job, on whatever terms that business offers. Any warranty on parts or materials is provided by the manufacturer on the manufacturer’s own terms. You should request all warranty terms in writing directly from the business before authorizing work.
If you are dissatisfied with work that was performed, we will, as a courtesy, act as a go-between: we will follow up with the business on your behalf and, if circumstances warrant, refer you to another provider in our network. This coordination effort is a goodwill gesture only - it is not a guarantee of any particular outcome or remedy. Ironworks Gate Co. will not itself perform, redo, or repair any work under any circumstances. We do not guarantee any refund of money you have paid to the performing business, and nothing in these Terms should be read to suggest that we will otherwise make you financially whole for dissatisfaction with a third party’s work.
Who Sets the Price, and Does Ironworks Gate Co. Collect Payment?
All pricing, estimates, and final charges for any home-service work are determined solely by the independent business that responds to your referral, based on that business’s own assessment of the job after inspecting the site or scope of work. Any price range, starting figure, or sample estimate that appears on the Site is illustrative only and does not constitute a quote, commitment, or guarantee of the price you will be charged.
Ironworks Gate Co. does not collect, process, or receive payment for any home-service work. The financial transaction for services is entirely between you and the performing business. We do not guarantee, honor, or have any obligation with respect to any discount, promotion, coupon, or special offer that an independent business may represent to you, whether communicated through the Site or directly.
Are the Businesses in Your Network Our Agents or Employees?
The businesses and tradespeople to whom we refer service requests are independent contractors. They are not employees, agents, legal partners, joint venturers, or representatives of Ironworks Gate Co. in any respect, and Ironworks Gate Co. does not control the means, methods, or manner in which they perform their work.
Ironworks Gate Co. is not responsible or liable for any act, omission, negligence, misconduct, or failure of any independent business or its employees, including but not limited to: the quality, safety, or timeliness of any work performed; any injury to persons; any damage to or loss of property; pricing practices; or the business’s compliance with applicable licensing, permitting, or insurance requirements. You are strongly encouraged to verify a business’s license and insurance status and to obtain and read a written contract before authorizing any work.
The agreement for the performance of any home-service work is formed directly and exclusively between you and the business that performs it. Ironworks Gate Co. is not a party to that agreement. A referral from Ironworks Gate Co. is not an endorsement, certification, recommendation, or guarantee of any business or its work. Any dispute arising from the work itself - including disputes over quality, pricing, damage, or injury - is solely between you and the performing business.
What Are Your Indemnification Obligations to Us?
You agree to indemnify, defend, and hold harmless Ironworks Gate Co., its owners, officers, directors, employees, and affiliates, as well as the independent businesses within our referral network, from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and reasonable attorneys’ fees arising out of or in connection with: (a) your access to or use of gaterepairgardena.com; (b) the information you submit through the Site, including any inaccuracies therein and any lack of authority to provide the phone number or other contact information you supply; (c) your breach of these Terms or of any applicable law or regulation; or (d) your interactions, transactions, or disputes with any business to which you are referred through the Site.
This indemnification obligation survives the termination or expiration of your use of the Site and these Terms.
What Law Governs These Terms and Where May Disputes Be Heard?
These Terms are governed by and construed in accordance with the laws of the State of CA, without giving effect to any conflict-of-law rules or provisions that would cause the laws of another jurisdiction to apply.
Subject to the binding arbitration agreement set forth in the Dispute Resolution section above, any legal proceeding that is permitted to proceed in court must be brought exclusively in the state or federal courts of competent jurisdiction located within CA, and you consent to the personal jurisdiction of those courts.
What Is the Extent of Ironworks Gate Co.’s Own Liability?
The Site and the referral service are provided on an as-is and as-available basis. We make no representation or warranty that a business will be available to accept your referral, that a business will contact you within any particular time, or that any referral will produce a specific outcome.
To the fullest extent permitted by applicable law, Ironworks Gate Co. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, or damage to property, arising from or related to your use of the Site or the referral service, regardless of the theory of liability and even if we have been advised of the possibility of such damages.
In all events, Ironworks Gate Co.’s total cumulative liability to you for any claim or series of claims arising from or relating to the Site or the referral service shall not exceed the greater of (a) one hundred dollars ($100.00) or (b) the total amount, if any, that you actually paid directly to Ironworks Gate Co. - which in most cases is nothing, because Ironworks Gate Co. does not collect payment for home-service work.
For the avoidance of doubt, this limitation applies only to Ironworks Gate Co.’s own conduct and obligations. Responsibility for the quality, safety, and outcome of any work performed rests exclusively with the independent business that performed it, and nothing in this section limits or affects any claim you may have against that business arising from its own work.
What Conduct Is Prohibited on the Site?
You agree that you will not:
- Use any automated script, bot, scraper, crawler, or data-harvesting tool to access, collect, or copy content from the Site;
- Submit false, misleading, or fraudulent service requests;
- Submit a service request using another person’s phone number or contact information without that person’s express prior consent;
- Interfere with or disrupt the operation of the Site or its underlying infrastructure;
- Use the Site for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation.
We reserve the right to suspend or block access to the Site for any user who violates these use restrictions.
How Are Disputes Between You and Ironworks Gate Co. Resolved?
Informal Resolution First. Before initiating any formal proceeding, you agree to contact Ironworks Gate Co. through https://gaterepairgardena.com/contact-us/ and provide us with a reasonable opportunity to resolve your concern informally. Most concerns can be addressed without formal proceedings if raised promptly.
Binding Individual Arbitration. If a dispute cannot be resolved informally, you and Ironworks Gate Co. agree that the dispute shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. By agreeing to arbitration, both you and Ironworks Gate Co. waive the right to resolve the dispute in a court of law and the right to a trial before a judge or jury. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. All claims must be brought solely in your individual capacity. You and Ironworks Gate Co. each waive any right to bring or participate in any class action, collective action, consolidated action, or class or representative arbitration proceeding. The arbitrator has no authority to consolidate claims of more than one person or to preside over any form of class or representative proceeding. If this class action waiver is found unenforceable with respect to any claim, that claim must be severed from arbitration and litigated in court, but the remainder of this arbitration agreement shall remain in effect.
Jury Waiver. To the extent any matter proceeds in court, both you and Ironworks Gate Co. expressly waive the right to a trial by jury.
30-Day Opt-Out Right. You may opt out of this arbitration agreement by sending written notice of your decision to opt out within thirty (30) days of the date you first accepted these Terms, using the contact form at https://gaterepairgardena.com/contact-us/. An opt-out applies only to the arbitration provision and does not affect any other part of these Terms.
Small Claims and Injunctive Relief. Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim qualifies. Either party may also seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened misuse of the Site or infringement of intellectual property rights, without first engaging in the informal resolution process described above.
Who Is Eligible to Use the Site?
Use of the Site is limited to individuals who are at least eighteen (18) years of age and who have the legal capacity to enter into a binding contract under applicable law. By submitting a service request, you also represent that you have the legal authority over the property for which home-service work is being requested - whether as the owner, authorized agent, or otherwise - and that you are authorized to grant access to that property for purposes of the requested work.
